Service Agreement
These terms govern the provision of digital workflow organization services by Narepxra. By engaging our services, clients agree to these terms and conditions. Service delivery begins upon execution of a formal service agreement specifying scope, timeline, and deliverables.
Scope of Services
Narepxra provides workflow analysis, system integration, process automation, and interface design services as detailed in individual service agreements. Service scope is defined through consultation and documented in project specifications. Changes to scope require written agreement from both parties.
Client Responsibilities
Clients must provide necessary access to systems, documentation, and personnel required for service delivery. Timely feedback and decision-making are essential for project progression. Clients remain responsible for their operational systems and final implementation decisions.
Service Provider Responsibilities
Narepxra commits to delivering services with professional competence and within agreed timelines. We maintain confidentiality of client information and provide regular project updates. Our team adheres to established methodologies and quality standards throughout engagement.
Intellectual Property
Solutions developed specifically for clients become client property upon completion and full payment. Narepxra retains rights to general methodologies, frameworks, and tools used in service delivery. Pre-existing intellectual property of either party remains their respective property.
Warranties and Limitations
We warrant that services will be performed with reasonable skill and care. However, we cannot guarantee specific operational outcomes as results depend on multiple factors including client implementation and external variables. Our liability is limited to the value of services provided for the specific engagement.
Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during engagement. This obligation extends beyond service completion. Exceptions apply for legally required disclosures or information already in public domain.
Term and Termination
Service agreements remain effective for specified project duration. Either party may terminate with written notice as specified in individual agreements. Termination does not affect obligations incurred prior to termination date.
Dispute Resolution
Disputes will first be addressed through good faith negotiation between parties. If resolution cannot be achieved, disputes will be handled through arbitration or legal proceedings as specified in service agreements, under United Kingdom jurisdiction.
Modifications
These terms may be updated periodically. Changes become effective upon publication. Active engagements continue under terms agreed at engagement commencement unless both parties agree to adopt updated terms.
